Vietnam's healthcare and technology sectors have emerged as the most active M&A markets in recent years, driven by rapid economic growth, a young and tech-savvy population, and increasing demand for quality services. In 2025, transaction volumes in these sectors exceeded previous records.

In healthcare, foreign investors are particularly attracted to hospital chains, pharmaceutical distribution, and medical device manufacturing. The Vietnamese government's push to modernize healthcare infrastructure under the National Health Insurance Program has created numerous investment opportunities.

The technology sector continues to see strong deal activity, with artificial intelligence, fintech, and e-commerce platforms attracting significant foreign capital. Vietnam's digital economy is projected to reach $49 billion by 2026, making it one of the fastest-growing digital markets in Southeast Asia.

Regulatory approval timelines for M&A transactions in these sectors typically range from 30 to 90 days, depending on the complexity of the transaction and the involvement of state-owned enterprises. The Ministry of Planning and Investment has been working to streamline approval processes to encourage foreign investment.

Investors should be aware of the competition filing requirements under Vietnam's Competition Law. Transactions exceeding certain thresholds must be notified to the National Competition Commission, and failure to comply can result in significant penalties.
